Terms of Service

1. Acceptance of Terms

By accessing or using AI DentPro's platform and services ("Services"), you ("Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services. These Terms constitute a legally binding agreement between you and AI DentPro LLC, a Connecticut limited liability company.

2. Description of Services

AI DentPro provides dental practice management software and services including, but not limited to:

• Medicaid remittance advice processing and payment posting to your PMS
• Medicaid and commercial insurance eligibility verification
• Automated SMS appointment reminders and two-way patient messaging
• Provider analytics and production dashboards
• QuickBooks Online integration and bookkeeping automation
• Digital patient intake form processing

AI DentPro reserves the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice.

3. Eligibility & Account Registration

To use our Services, you must be a licensed dental practice or authorized agent thereof. By registering, you represent that:

• You are authorized to enter into this agreement on behalf of the dental practice
• The practice holds all required licenses and Medicaid provider enrollments
• You will provide accurate registration information and keep it updated
• You are responsible for maintaining the confidentiality of your account credentials

4. Subscription & Payment

Fees: Subscription fees are charged monthly in advance according to the plan selected at signup. All fees are listed at aidentpro.com/pricing and are subject to change with 30 days notice.

Billing: Fees are billed to the payment method on file on the same day each month. Failed payments may result in service suspension after 7 days.

Money-Back Guarantee: If you are not satisfied within the first 30 days, contact us for a full refund. No refunds are issued after 30 days.

Cancellation: You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for mid-period cancellations.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any regulation
• Attempt to gain unauthorized access to any system or data
• Reverse engineer, decompile, or disassemble any part of the Services
• Resell or sublicense the Services without written permission
• Submit false or misleading patient data through the platform
• Use the Services in a manner that could damage or impair your PMS or any connected system

6. Data & Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all patient data. AI DentPro acts only as a data processor on your behalf.

You represent that you have obtained all necessary consents from patients for the data processing activities performed through our Services, including SMS messaging consent where applicable.

7. HIPAA Compliance Obligations

AI DentPro is a Business Associate under HIPAA. A Business Associate Agreement (BAA) must be signed before any Protected Health Information (PHI) is transmitted to our platform. By using our Services after executing a BAA, you agree to:

• Use the Services only in accordance with HIPAA regulations
• Notify AI DentPro promptly of any suspected breach involving data processed through our platform
• Ensure that only authorized staff access the platform
• Obtain proper patient consent for SMS communications as required by TCPA and applicable regulations

8. Intellectual Property

AI DentPro retains all intellectual property rights in the platform, software, and documentation. These Terms do not grant you any ownership rights in the Services. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription term.

You retain all rights to your practice data and patient information. You grant AI DentPro a limited license to process this data solely to provide the Services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AI DENTPRO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI DENTPRO'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL AI DENTPRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless AI DentPro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of applicable law; or (d) your patient data or communications.

12. Termination

Either party may terminate this agreement at any time. AI DentPro may terminate immediately if you materially breach these Terms, including violations of HIPAA obligations or non-payment. Upon termination, AI DentPro will provide a data export upon request and securely delete your data within 90 days in accordance with the BAA.

13. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Connecticut, and you consent to personal jurisdiction in those courts.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
